About

Stefanie Wagner, attorney, tax advisor, and partner, studied law in Regensburg with a focus on tax law and worked at the Chair of Public Law, Finance, and Tax Law under Prof. Dr. Rolf Eckhoff in Regensburg during her legal clerkship.

She began her professional career in 2008 at Linklaters in Munich. After working at a boutique law firm specializing in advising private clients and most recently as an associate partner at O&R Oppenhoff & Rädler in Munich, she has been part of the team since early 2024.

Ms. Wagner’s practice focuses on providing legal, tax, and economic support for the transfer of assets to subsequent generations, handling complex inheritance cases, and the legal and tax (re)structuring of family businesses. In addition, Ms. Wagner has extensive experience in providing legal and tax advice on M&A transactions.

Experience
  • Assisting entrepreneurial families with SFO, successors residing abroad, and, in some cases, operating companies in preparing emergency documents (business wills, powers of attorney, living wills), avoiding high inheritance tax burdens in the event of death through preventive testamentary arrangements, and planning and implementing structural measures
  • Establishment of German family foundations as new holding companies and at the SFO level. Implementation of family-oriented corporate governance, including the gradual, tax-efficient transfer of shares in the operating company, also utilizing usufruct arrangements
  • Support for several highly complex inheritance cases in an international context, involving in some cases minor heirs, contested succession or will execution, including subsequent structuring of the estate (consisting of cryptocurrency assets, a multi-billion-dollar conglomerate, or substantial real estate assets)
  • Amendment of the articles of association and establishment of an advisory board structure in connection with the departure of the last shareholder from the management of a family business with a long tradition
  • Establishment of Liechtenstein or Austrian foundation structures in the context of relocation or succession planning for foreign entrepreneurs
  • Setting up a charitable foundation as one of several pillars of succession planning for complex asset structures
  • Legal and tax support for numerous corporate transactions in the small- and the mid-cap segment (sell-side/buy-side), particularly for SFOs invested in direct equity investments, as well as for external succession planning (in some cases via joint ventures as a first step)
